Terms and Conditions

If you wish to purchase any product or service made available through sourcemaster ("Purchase"), you may be asked to supply certain information relevant to your Purchase, including your credit card number, expiration date, billing address, and shipping information.

You represent and warrant that (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase, and (ii) the information you provide is true, correct, and complete.

By submitting such information, you grant us the right to provide it to third parties for purposes of facilitating the Purchase.

We reserve the right to refuse or cancel your order at any time for reasons including, but not limited to, product or service availability, errors in pricing or descriptions, or suspected fraud or unauthorized transactions.

Decision Modeling Systems Limited does not act as a payment processor or escrow agent for any transactions between users. Any payment arrangements made between buyers and suppliers are outside the scope of sourcemaster, and we bear no responsibility for payment disputes, failures, or refunds.

sourcemaster enables communication, ordering, and data exchange between companies, their suppliers, and their customers. Decision Modeling Systems Limited is not a party to any contract, order, or agreement formed through or facilitated by sourcemaster.

All contractual obligations—including pricing, payment, delivery, product specifications, and compliance with applicable laws—remain solely between the parties to such transactions.

We make no warranties or representations about any transactions conducted through sourcemaster and are not responsible for any disputes, errors, losses, or damages arising from such transactions.

Upon Decision Modeling Systems Limited’s acceptance of your order and for the duration of the services term defined in the ordering document:

• You have a non-exclusive, non-assignable, royalty-free, worldwide, limited right to use sourcemaster solely for your internal business operations, subject to these Terms.
• You may allow your users to use sourcemaster for this purpose to the extent permitted in your ordering document, and you are responsible for their compliance with these Terms
• The services are provided as described in, and subject to, the policies referenced in the ordering document.

You acknowledge that Decision Modeling Systems Limited has no obligation to deliver physical copies of sourcemaster or related software. You do not acquire any license beyond the scope or duration defined in the ordering document. When the agreement ends, your right to access or use sourcemaster terminates. We have no responsibility to retain or return your data after termination.

You retain all ownership and intellectual property rights to the data, content, and materials you upload to sourcemaster ("Your Data"). By using sourcemaster, you grant Decision Modeling Systems Limited a limited, non-exclusive license to host, process, transmit, and display Your Data solely as necessary to operate and provide the service.

You also grant Decision Modeling Systems Limited the right to use aggregated or anonymized information derived from Your Data for analytics, product improvement, and other business purposes, provided that such use does not disclose your identity, your customers’ identities, or any confidential materials such as images, logos, or branding.

Any branding, customization, or white-label features provided as part of sourcemaster do not transfer ownership of any intellectual property rights to you. All rights, title, and interest in sourcemaster, including custom branding elements created as part of your subscription, remain the property of Decision Modeling Systems Limited unless otherwise agreed in writing.

Decision Modeling Systems Limited (and its licensors) retains all ownership and intellectual property rights to sourcemaster and anything developed or delivered under these Terms.

You may not

• Make sourcemaster available to any third party for use in their business operations, unless expressly permitted in the ordering document.
• Modify, create derivative works of, disassemble, reverse-compile, or reverse-engineer any part of sourcemaster.
• Use sourcemaster to build or support products or services competitive to Decision Modeling Systems Limited.
• License, sell, rent, lease, transfer, assign, distribute, display, host, outsource, disclose, permit time-sharing, or otherwise commercially exploit sourcemaster beyond what is expressly permitted in these Terms.

Licenses granted on a “named user” basis cannot be shared or used by more than one individual unless reassigned entirely to another authorized user.

Except as expressly stated, no part of sourcemaster may be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any form.

You agree to make reasonable efforts to prevent unauthorized third-party access to sourcemaster.

The service may periodically update with new tools, utilities, improvements, third-party applications, or other updates. You agree to receive these updates.

Any contests, sweepstakes, or promotions made available through sourcemaster may have rules separate from these Terms. Please review any applicable rules as well as our Privacy Policy. If promotion rules conflict with these Terms, the promotion rules will apply.

Some parts of sourcemaster are billed on a subscription basis ("Subscription"). You will be billed in advance on a recurring basis ("Billing Cycle"), which may be monthly, quarterly, annually, or as otherwise specified.

At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it or we do. You may cancel your Subscription renewal via your online account management page or by contacting our support team.

A valid payment method is required to process Subscription payments. By submitting payment information, you authorize us to charge Subscription fees to that payment method. If automatic billing fails, we will issue an invoice requiring manual payment by the stated deadline.

Decision Modeling Systems Limited may offer a free or freemium plan with limited functionality or storage. We reserve the right to set or change usage limits, including data storage thresholds, for freemium accounts at any time.

Freemium plans may be modified, suspended, or discontinued at our discretion. We are not obligated to retain freemium user data if the freemium plan is discontinued or if we cease operations.

We may, at our sole discretion, offer a free trial for a limited time ("Free Trial"). You may need to provide billing information to sign up.

If billing details are provided, you will not be charged until the Free Trial ends. On the last day of the Free Trial, unless cancelled, your Subscription will automatically convert to a paid Subscription.

We may modify or cancel any Free Trial offer at any time without notice.

Decision Modeling Systems Limited may change Subscription fees at any time. Fee changes take effect at the end of the current Billing Cycle. We will provide reasonable prior notice, allowing you to cancel before the change takes effect.

Your continued use after the fee change takes effect constitutes agreement to pay the new fees.

Except where required by law, paid Subscription fees are non-refundable.

sourcemaster may allow you to post, link, store, or share content ("Content"). You are responsible for the Content you post, including its legality and appropriateness.

By posting Content, you grant us a license to use, modify, perform, display, reproduce, and distribute that Content through sourcemaster. You retain ownership of your Content and are responsible for protecting your rights. This license also allows other sourcemaster users to access your Content as permitted by these Terms.

You represent that (i) you own the Content or have rights to grant the license above, and (ii) posting it does not violate any rights of others.

When you create an account, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of these Terms and may result in immediate termination.

You are responsible for safeguarding your password and any activities under your account. You agree not to share your password and must notify us of any unauthorized use.

You may not use as a username the name of another person or entity without authorization, or any name that is offensive, vulgar, or obscene.

You agree to indemnify and hold harmless Decision Modeling Systems Limited, its affiliates, and their respective officers, directors, and employees from any claim, demand, liability, loss, damage, or expense (including reasonable attorney’s fees) arising from or related to:

• Your Data, including any allegation that Your Data infringes or misappropriates any third-party rights
• Your use of sourcemaster in violation of these Terms or applicable law
• Any transactions or agreements you enter into with other users through sourcemaster

You agree not to use sourcemaster for any unlawful, harmful, or abusive purpose. This includes, without limitation:

• Uploading or transmitting viruses, malware, or malicious code
• Infringing or misappropriating any intellectual property rights
• Conducting fraudulent or deceptive activities
• Using sourcemaster to violate applicable trade, export, or sanctions laws

sourcemaster and its original content (excluding user Content), features, and functionality are and will remain the exclusive property of Decision Modeling Systems Limited and its licensors. sourcemaster is protected by copyright, trademark, and other applicable laws. Our trademarks and trade dress may not be used without our prior written consent.

sourcemaster may contain links to third-party websites or services not owned or controlled by Decision Modeling Systems Limited. We are not responsible for the content, privacy policies, or practices of such third parties and assume no liability for any resulting damage or loss.

We strongly recommend reviewing the terms and privacy policies of any third-party sites you visit.

We may terminate or suspend your account immediately, without prior notice, for any reason, including violation of these Terms.

Upon termination, your right to use sourcemaster ceases immediately. To terminate your account, you may discontinue use of sourcemaster.

Upon termination of your account, Decision Modeling Systems Limited has no obligation to retain or provide any of Your Data. We may delete Your Data from our systems unless required by law or otherwise agreed in writing. It is your responsibility to export or back up Your Data before termination.

If Decision Modeling Systems Limited discontinues sourcemaster or ceases business operations, we may terminate all accounts, including paid and freemium accounts, with reasonable notice where practicable. In such cases, we have no further obligation to retain or provide any of Your Data beyond what is required by law.

Decision Modeling Systems Limited and its affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, resulting from:

1. Your access to or use of sourcemaster
2. Any conduct or content of third parties
3. Content obtained from sourcemaster
4. Unauthorized access, use, or alteration of your transmissions or content

Decision Modeling Systems Limited does not guarantee the accuracy of any data entered, displayed, or transmitted through sourcemaster, including translated text, product information, pricing, or order details.

You acknowledge that errors, delays, or omissions may occur and that you are solely responsible for verifying order information and transaction details. Decision Modeling Systems Limited shall not be liable for any losses, damages, or disputes arising from:

• Incorrect or incomplete data provided by users or third parties
• Translation errors or discrepancies between language versions
• Bugs, errors, or interruptions in sourcemaster

sourcemaster may integrate with or provide links to third-party services, platforms, or APIs. Decision Modeling Systems Limited does not control and is not responsible for the operation, availability, or accuracy of any third-party services. We disclaim all liability for any issues, delays, or damages arising from such integrations.

sourcemaster is intended to assist with communication, ordering, and inventory management. You should use your own judgment and consult professionals where necessary.

Decision Modeling Systems Limited does not guarantee continuous availability of sourcemaster and provides no service-level agreement (SLA) unless expressly stated in a separate written contract. We may suspend access for maintenance, updates, or technical issues without liability.

Support for sourcemaster is provided only through the resources and documentation we make available online. We do not offer live support, training, or demonstrations unless separately agreed in writing.

You agree to comply with all applicable export control and sanctions laws and regulations in connection with your use of sourcemaster. You represent and warrant that you are not located in, or ordinarily resident in, any country or region subject to comprehensive trade sanctions, and you are not listed on any government-issued restricted party list.

You are solely responsible for ensuring that Your Data, transactions, and use of sourcemaster comply with all applicable laws, including customs, export, import, and sanctions regulations.

Decision Modeling Systems Limited will not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, internet or telecommunications outages, power failures, government actions, or changes in applicable law.

sourcemaster may be provided in multiple languages for user convenience. In the event of any inconsistency or ambiguity between translations, the English version of these Terms shall prevail and be the authoritative version for interpretation.

While sourcemaster may support multiple languages, Decision Modeling Systems Limited does not guarantee that all features, content, or support will be available in every language. The availability and completeness of translations may vary by language.

Provisions relating to intellectual property ownership, indemnification, limitation of liability, disclaimers, and governing law shall survive termination or expiration of these Terms.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Decision Modeling Systems Limited may assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, corporate reorganization, or sale of assets, without notice to you.

You may assign or transfer your rights and obligations under these Terms to another entity. Any special pricing, discounts, or custom contractual terms you previously had will not automatically transfer to the new entity unless expressly agreed by us in writing.

These Terms are governed by the laws of Hong Kong. Any dispute shall be settled by arbitration under the UNCITRAL Arbitration Rules, with the Hong Kong International Arbitration Centre (HKIAC) as the appointing authority and venue. There will be one arbitrator, and the prevailing party is entitled to fees and costs, including attorney’s fees.

Nothing in these Terms limits your rights under any mandatory consumer protection laws that may apply in your jurisdiction.

We reserve the right to update or replace these Terms at any time. If changes are material, we will try to provide at least 30 days’ notice before they take effect. Continued use of sourcemaster after changes take effect constitutes acceptance of the new Terms.
